1. Acceptance of terms
By accessing or using InvoiceFlow ("Service", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
These Terms apply to all users including free accounts, Pro subscribers, and Business subscribers.
2. Description of service
InvoiceFlow is a cloud-based business management platform that allows freelancers and businesses to create, send, and manage financial documents and operations. The Service includes:
- Invoice and estimate creation, management, and delivery
- Receipt generation and payment recording
- Client management and client portal (Business plan)
- Client intake forms (Business plan)
- Expense tracking and categorisation (Pro and Business plans)
- Time tracking and billable hours management (Pro and Business plans)
- Project management and budget tracking (Business plan)
- Retainer billing and automated recurring invoices (Pro and Business plans)
- PDF generation and email delivery (Pro and Business plans)
- Analytics, reporting, and CSV data export (Pro and Business plans)
- Custom branding — logo, colours, and payment terms (Pro and Business plans)
- Data import from third-party tools via CSV (Pro and Business plans)
- Team access with role-based permissions and audit log (Business plan)
- REST API, webhooks, and third-party integrations including Slack, Zapier, Xero, and QuickBooks (Business plan)
- Mobile application for iOS and Android
No financial, legal, or tax advice. InvoiceFlow is a billing and record-keeping tool only. Nothing generated by the Service — including invoices, receipts, reports, or any other output — constitutes financial, accounting, legal, or tax advice. You are solely responsible for the accuracy of the figures on your invoices, for understanding and complying with your local tax and VAT obligations, and for ensuring your use of the Service meets any applicable regulatory requirements. We recommend consulting a qualified accountant or tax professional for advice specific to your business.
3. Account registration
- You must be at least 16 years old to create an account.
- You must provide accurate and complete registration information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorised use of your account at info@invoiceflow.techieszon.com.
- Each account represents one organisation. You may not share login credentials across unrelated businesses.
4. Subscription and billing
Free plan: Available at no cost with usage limits (5 invoices/month, 3 clients). No credit card required.
Paid plans: Pro and Business plans are available on a monthly or annual billing cycle through Paystack. Monthly subscriptions are charged every 30 days. Annual subscriptions are charged once per year at a discounted rate. By subscribing, you authorise Paystack to charge your payment method on a recurring basis for the billing interval you select at checkout.
Free trial: New accounts receive a 14-day Pro trial. No charge is made during the trial. After 14 days, your account automatically reverts to the Free plan unless you subscribe.
Cancellation: You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial periods.
Price changes: We reserve the right to change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.
5. Acceptable use
You agree not to use InvoiceFlow to:
- Create fraudulent, misleading, or fictitious invoices.
- Facilitate money laundering, tax evasion, or other illegal financial activity.
- Send unsolicited or spam emails to your clients through the platform.
- Attempt to access other users' accounts or data.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use automated scripts or bots that place excessive load on our infrastructure.
- Resell or sublicence access to the Service without written permission.
We reserve the right to suspend or terminate accounts that violate these terms.
6. Your content
You retain full ownership of all data you upload or create in InvoiceFlow — including your business information, client data, and invoice content ("Your Content").
By using the Service, you grant InvoiceFlow a limited, non-exclusive licence to store, process, and transmit Your Content solely to provide the Service to you.
You are solely responsible for the accuracy and legality of Your Content. InvoiceFlow does not review or verify the contents of your invoices.
7. Intellectual property
InvoiceFlow and its original content, features, and functionality are owned by InvoiceFlow and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, or create derivative works based on the Service or any part of it without our express written consent.
8. Data and privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.
9. Availability and uptime
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or emergency actions that temporarily affect availability. We will provide advance notice of planned maintenance where possible.
InvoiceFlow is provided "as is" and "as available" without warranties of any kind, express or implied.
10. Limitation of liability
To the maximum extent permitted by applicable law:
- InvoiceFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total liability to you for any claim shall not exceed the amount you paid to InvoiceFlow in the 12 months preceding the claim.
- InvoiceFlow is a tool to help you create and send invoices. We are not responsible for your clients' failure to pay, disputes arising from your invoices, or your tax or legal obligations.
11. Indemnification
You agree to indemnify and hold harmless InvoiceFlow, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.
12. Termination
By you: You may delete your account at any time from Settings → Danger Zone. Deletion is permanent and removes your personal data in accordance with our Privacy Policy.
By us: We reserve the right to suspend or terminate your account without notice if you violate these Terms or engage in activity harmful to other users or the Service. In cases of suspected fraud or illegal activity, we may also report the matter to the relevant authorities.
13. Governing law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
14. Changes to terms
We may update these Terms from time to time. We will notify you of material changes by email or by a notice within InvoiceFlow at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the new Terms.
